New York Notary Acknowledgement – Corporate Acknowledgements

The New York corporate acknowledgement form should be attached to a legal instrument that is signed for a corporation by an authorized representative when a corporate seal has been affixed to the document. Although corporate seals/stamps are no longer required by law, corporations may still use them as they provide added authority when putting legal documents into action. The signer must identify themselves to a notary public, show them the signed and stamped document, and swear that they have the authority to sign on behalf of the corporation.

On the ____ day of _____________ in the year_______ before me, personally came ____________________ to me known, who, being by me duly sworn, did depose and say that he/she/they reside(s) in ____________________ (if the place of residence is in a city, include the street and street number, if any, thereof); that he/she/they is (are) the (president or other officer or director or attorney in fact duly appointed) of the ____________________ [name of corporation], the corporation described in and which executed the above instrument; that he/she/they know(s) the seal of said corporation; that the seal affixed to said instrument is such corporate seal; that it was so affixed by authority of the board of directors of said corporation, and that he/she/they signed his/her/their name(s) thereto by like authority.
